Another attempt to rig the Board Election

Election season is here again and already the Board and Nominating Committee are up to their old tricks.  Here's a link to a post I did on last year's election. Most of my analysis remains relevant.

In my view, there are already four strikes against the slate proposed by the Nominating Committee:

1.    No choice is offered to the Owners. The unelected Nominating Committee has made the decision for the Owners.

2.    One of the members of the Nominating Committee had a conflict of interest and should have resigned from the committee. There is no way to recuse yourself from the Nominating Committee if your spouse is under consideration. This is Corporate Governance 101.

3.    Petition candidates have until October 29 to submit their petitions, but the website is already replete with campaign material for the insider candidates.

4.    The Board is sending out the ballot on November 3--four days BEFORE the candidate forum on November 7. The Board will point to the By-Laws, which require the ballot to be sent out within five days of the deadline for petition candidates (i.e., November 3). But you should consider two things: (1) the Board had the chance to fix this timing when they recommended about 100 changes to the governing documents earlier this year but were too busy seizing power from the Owners instead and (2) there's no reason the candidate forum couldn't be held during the October 30-November 3 period (actually, releasing the ballot the evening after the Candidate Forum makes sense to me).

In any event, we have yet another stacked deck. Fixing the nominating process is a project for another day. The immediate issue is whether a petition candidate will emerge who will present a vision for the Club that may differ from that of the secretive, insider-dominated Board. Stay tuned!
